Kimberly Shin is a small business and startup attorney who represents lifestyle companies, startups, and emerging companies in the tech, fashion, wellness, media, healthcare, and professional services industries. She works closely with first-time entrepreneurs to help prepare their businesses to grow and scale. Kimberly regularly advises clients on entity selection, business partnerships, equity allocation, employment law, and general corporate and startup law.

Kimberly graduated with honors from American University Washington College of Law. She has a joint JD/MA and is licensed to practice in the following jurisdictions: New York, District of Columbia, New Jersey, and Missouri. As with all corporate counsel, she can also represent Delaware companies.

  • Assisted in representing BPO buyer in multi-million dollar private equity acquisitions

  • Assisted in representing sellers (in e-commerce logistics, fitness, healthcare, and edtech industries) in collectively over $150 million dollar transactions to private equity groups

  • Assisted in representing a partner buyout of a privately held company

  • Represented SaaS clients in corporate transactions, software licensing negotiations, and drafting privacy agreements

  • Represented tech startup clients in organizing startup documents and allocating equity to founders

  • Represented consumer products, internet, SaaS, and services businesses with trademark registration

  • Represented and advised small businesses and service professionals on employment matters

As an associate of the firm, Jacob Berger‘s practice primarily involves contract drafting and reviewing as well as providing legal analysis and transactional documents for corporate clients. Jacob works with B corps, publicly traded companies, and privately held LLCs and corporations. As a proud husband and father of three young children, Jacob enjoys spending time with family, relaxing on long runs, and competing on the disc golf course.

 

Eliya Tate has been a paralegal with our firm since 2021. She specializes in organization and communication as she manages the ins and outs of legal records, corporate filings, and client questions. Her passion is in creating effective and efficient solutions and systems for the firm.
